A Brief Overview

The Associate General Counsel will interface with executive-level management, commercial businesses and support functions and colleagues in Global functions to provide effective, proactive legal advice and counsel on issues associated with related areas of law, general business and a wide variety of regulatory and other technical matters; provide legal support with respect to the promotion, distribution and sale of pharmaceuticals, medical devices, and OTC products and the compliant promotion of same; take an active role in the day-to-day management of the NA Legal function and in corporate governance and mentoring of colleagues; counsel on and manage risk related to the Company and the sale of its products; play a key role in support of the development, acquisition and divestiture of products and in lifecycle management; and provide effective legal support for sales, marketing and finance. This position also requires (a) active management and related leadership associated with internal client's vis a vis continuous education, risk management and expectation-setting, (b) external counsel vis a vis time and work product and (c) external vendors and third parties in the development and negotiation of contracts and provision of services.

 

 

What You Will Do

  • Legal Counseling & Business Strategy Provide legal analysis and counsel on a wide range of business activities, both internal and external, to ensure competitive and compliant operations. This includes advising on legal risks, developing creative solutions, and guiding strategic decision-making across business units.
  • Regulatory & Promotional Compliance Advise product marketing teams on FDA regulatory requirements by participating in Promotional Review Committees. Review promotional materials and assess risks related to product claims and advertising to ensure compliance with applicable laws and regulations.
  • Contract Drafting & Negotiation Draft, review, and negotiate various commercial contracts, including master services agreements, statements of work, and strategic alliances. Ensure contracts meet legal and regulatory standards and serve as a liaison during negotiations with customers and vendors.
  • Aesthetics Business & HCP Program Support Provide legal support to the Aesthetics Business Unit, including strategic accounts and loyalty programs. Counsel on government pricing, anti-kickback statutes, healthcare provider relationships, and FDA regulations. Collaborate with Finance and Analytics to update program terms and conditions.
  • Intellectual Property & Medical Affairs Guidance Support brand protection efforts in North America, addressing trademark infringement, counterfeiting, and diversion. Provide general IP advice in coordination with global counsel. Advise Medical Affairs on scientific exchanges, investigator-initiated trials, and medical information materials. 

Minimum Requirements

  • Law degree from accredited legal program; member of the bar in at least one state
  • 12+ years of legal experience with a top tier law firm and/or an in-house legal department of a multinational company within the Life Sciences/Medical Device/Pharma sector, or other relevant business having similar commercial and regulatory challenges.
  • 5+ years of experience should be in-house with emphasis on litigation and commercial-related disputes, intellectual property, and corporate law

Preferred Qualifications

  • Excellent academic credentials; law journal experience a plus.

Technical & Functional Skills

  • Must exemplify sound judgment and a solution-oriented approach.
  • Demonstrated interpersonal and presentation skills together with ability to communicate across all levels of the Company and work cross functionally.
  • Ability to work collaboratively with international legal and business colleagues.
